1. Acceptance of Terms

By downloading, accessing, or using RapidNote (“we”, “us”, “our”), you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the app.

2. Recording Policy

At RapidNote, we emphasize the importance of adhering to both legal and institutional regulations when recording and sharing content. We ask all users to follow these guidelines to ensure compliance with applicable policies and laws:

Compliance with Institutional Policies

Users are responsible for ensuring that any recording or uploaded material aligns with the policies of their school, university, workplace, or instructor. It is the user's obligation to familiarize themselves with and adhere to their institution's rules concerning the recording and sharing of lectures or educational content.

Respecting Copyright Law

Users must not record or upload content that is protected by copyright unless they have obtained explicit permission from the copyright holder. This includes materials such as texts, images, videos, or other forms of copyrighted media.

Respect for Privacy and Confidentiality

Users are prohibited from recording or sharing sensitive conversations or information that would violate U.S. privacy laws. This includes confidential communications, private discussions, or any other exchanges legally protected from unauthorized recording or disclosure.

RapidNote does not condone and cannot be held liable for any unauthorized recording or uploading of content that violates institutional policies, copyright law, or privacy laws. Users are fully responsible for ensuring their activities on the platform comply with all applicable legal and institutional requirements. By using our platform, you agree to indemnify RapidNote against any legal consequences resulting from the unauthorized recording or distribution of material. We trust our users to respect intellectual property, privacy, and institutional policies while using RapidNote.

3. User Obligations

• Provide accurate, up-to-date information when creating or updating your account.
• Keep your login credentials confidential; notify us immediately of any unauthorized use.
• Use the app in accordance with these Terms, all applicable laws, and third-party service terms (e.g., OpenAI, OpenRouter, Clerk).

4. Acceptable Use and Account Management

RapidNote is designed to provide a fair and sustainable service to all users. To maintain service quality and prevent abuse, we reserve the right to monitor usage patterns and take appropriate action when necessary.

4.1 Fair Usage Policy

We expect users to engage with RapidNote in a manner that is reasonable and consistent with typical educational use. This includes maintaining reasonable usage volumes that align with personal study needs rather than commercial or automated purposes.

4.2 Account Restrictions and Suspension

RapidNote reserves the right to temporarily pause, restrict, or suspend access to your account if we detect usage patterns that appear to be excessive, automated, or potentially abusive. This may include, but is not limited to:

• Unusually high volume of requests or processing that exceeds normal personal use
• Automated or scripted usage patterns that suggest non-human interaction
• Usage that appears to be for commercial purposes without appropriate authorization
• Attempts to circumvent usage limits or access controls
• Any activity that could negatively impact service performance for other users

4.3 Notification and Appeal Process

If we implement usage restrictions on your account, we will notify you via email and provide an opportunity to appeal the decision. Restrictions are typically temporary and may be lifted once we verify that usage has returned to acceptable levels. For legitimate educational use cases that may require higher usage volumes, please contact our support team to discuss appropriate accommodations.

5. License to Access RapidNote Content

Provided you comply with these Terms of Use, RapidNote grants you a limited, personal, non-exclusive, non-commercial, revocable, and non-transferable license to access and use the content on our platform for personal, educational purposes only.

• You agree not to copy, record, or access content via automated means (e.g., scripts, bots, data-extraction tools) unless authorized by RapidNote in writing.
• If you purchase a subscription or license to access RapidNote content, it is for individual use only and cannot be shared with others.
• We may enforce reasonable limits on access—such as time, device usage, or quantity of materials—to protect against unauthorized or abusive use.

6. Subscription and Payment Terms

5.1 Subscription Plans

• Access to premium features requires a paid subscription, managed via RevenueCat and/or Stripe.
• Subscription fees, billing cycles, and trial periods are detailed within the app.

5.2 Auto-Renewal and Cancellation

• Subscriptions auto-renew at the end of each billing cycle unless canceled at least 24 hours before renewal.
• Manage or cancel subscriptions through your account settings or app store subscription management.
• We do not process cancellations directly; follow the store or RevenueCat instructions.

7. Refund Policy for RapidNote

6.1 Eligibility for Refunds

Refunds are generally only available under the following conditions:

• Requested within 30 days of your subscription purchase or renewal.
• Your usage has not significantly exceeded normal trial usage or violated these Terms of Use.
• Technical issues caused by RapidNote that were reported and not resolved within a reasonable time.
• Accidental or duplicate payments.

6.2 No Refunds for Inactive Accounts

We do not provide refunds for unused or inactive accounts. If you forget to cancel your subscription and it renews automatically, you remain responsible for that charge. Please manage your subscription settings in your account.

6.3 Refund Request Process

To request a refund:

• Email support@rapidnote.app with the subject line “Refund Request.”
• Include your name, email address, subscription plan, purchase date, and reason for the request.

Our team will review your request and respond within 5–7 business days.

6.4 Pro-Rated Refunds

If you cancel your subscription partway through a billing cycle, you may be eligible for a pro-rated refund based on the number of unused days remaining.

6.5 Non-Refundable Cases

• Requests made after 30 days of subscription purchase or renewal.
• Subscriptions purchased at promotional rates, discounts, or special pricing.
• Fees for inactive or unused accounts.
• Account termination due to violation of these Terms of Use.

6.6 Payment Processing Time

Once your refund request is approved, the refund will be processed through your original payment method. Depending on your financial institution, it may take up to 7–14 business days for the funds to appear in your account.

6.7 Changes to This Policy

RapidNote reserves the right to modify or update this refund policy at any time. We will notify users of any significant changes by posting the updated policy on our website or in-app.

8. Intellectual Property Rights

• All RapidNote software, design, branding, and content (excluding your user-generated content) are owned or licensed by us and protected by copyright, trademark, and other laws.
• You retain ownership of your recordings, transcripts, and study materials; by using our AI services you grant us a license to process and store that content as described in our Privacy Policy.

9. Disclaimers and Limitation of Liability

• RapidNote is provided “as is” without warranties of any kind.
• We do not warrant that the app will be uninterrupted, error-free, or free of viruses.
• To the maximum extent permitted by law, we disclaim liability for any indirect, incidental, special, or consequential damages arising from your use of RapidNote.

10. Indemnification

You agree to defend, indemnify, and hold RapidNote and its affiliates harmless from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your breach of these Terms or applicable laws.
• Your recordings, uploads, or content that violate third-party rights or policies.

11. Governing Law and Dispute Resolution

• These Terms are governed by the laws of California, without regard to conflict of law principles.
• Any disputes arising under these Terms shall be resolved in the state or federal courts located in California.

12. Changes to Terms

• We may update these Terms at any time; changes take effect when posted.
• Continued use of RapidNote after changes constitutes acceptance of the new Terms.
